1. Acceptance of Terms

By accessing or using Quickmerce (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the service. These Terms apply to all visitors, users, and merchants who access or use the Platform.

2. Description of Services

Quickmerce provides a software-as-a-service (SaaS) platform that enables merchants to create and manage online stores, including product listings, order management, customer communication, and payment processing integrations. We reserve the right to modify, suspend, or discontinue any part of the service at any time.

3. Merchant Accounts

To use our services, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that your account information is accurate and up to date
  • Notifying us immediately of any unauthorised use of your account

You must be at least 18 years old and legally capable of entering into a binding contract to create an account.

4. Acceptable Use

You agree not to use the Platform to:

  • Sell prohibited, counterfeit, or illegal products
  • Engage in fraudulent activities or mislead customers
  • Violate any applicable laws or regulations
  • Infringe the intellectual property rights of others
  • Transmit malware, spam, or other harmful content
  • Attempt to gain unauthorised access to our systems

Violation of this section may result in immediate account suspension or termination.

5. Payments & Billing

Paid plans are billed monthly or annually in advance. By providing a payment method, you authorise us to charge the applicable fees. All fees are non-refundable except as required by law or as described in our refund policy. We reserve the right to change our pricing with 30 days' notice.

Free plans may have usage limits. If you exceed these limits, you may be required to upgrade to a paid plan or have your store temporarily restricted.

6. Intellectual Property

The Platform and its original content, features, and functionality are owned by Quickmerce and are protected by intellectual property laws. You retain ownership of all content you upload to your store. By uploading content, you grant us a non-exclusive, worldwide licence to use, store, and display your content solely to provide the service.

7. Limitation of Liability

To the maximum extent permitted by law, Quickmerce shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Platform. Our total liability to you shall not exceed the fees paid by you in the 12 months preceding the claim.

8. Termination

You may cancel your account at any time from your account settings. We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Platform ceases immediately. We will retain your data for 30 days after termination to allow you to export it.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or a prominent notice on the Platform. Continued use of the Platform after changes become effective constitutes your acceptance of the new Terms.
